Speakers Institute LLC

These terms and conditions form the basis of the agreement between you and Speaker Business LLC, doing business as Speakers Institute. The agreement consists of the following documents:

  • These Terms and Conditions;

  • The completed Application Form including the Application Questionnaire, completed either online or offline;

  • The Enrolment Package Outline; and

  • Our Privacy Policy.

The Agreement

By signing the Application Form, paying the Minimum Deposit, or by signing up online to a Speakers Institute Coaching Package, you agree to be bound by these Terms and Conditions (“Terms”) and our Privacy Policy.

We suggest that before you sign the registration form or orally agree to us providing Services that you read through these terms and conditions. If you have any questions concerning them, please ask us.

You should keep a copy of these terms and conditions for your records.

Definitions

Application Form means the document which sets out your personal details, Selected Speakers Institute Program, and details of the agreed payment method.

Application Questionnaire means the questionnaire containing questions relevant to your business that is sent to you following your enrolment in any of the Speakers Institute programs, for you to complete.

Enrolment Package Outline means the document containing the description of any of the Speakers Institute programs and the included services on offer from time to time.

Event means a retreat, seminar, networking event, coaching session, promotion, or other planned session organized or produced by Speakers Institute, whether live or online.

Intellectual Property means all intellectual property rights of whatever nature anywhere in the world conferred under statute, common law, or equity and includes rights in respect of or in connection with copyright, whether or not registered or registrable, and includes the right to apply for or renew the registration of such rights.

Losses means all losses including financial losses, damages, legal costs, and other expenses of any nature whatsoever;

Minimum Deposit is the amount specified as the minimum deposit payable for the Selected Speakers Institute Program in the Application Form.

Online Content means all content on the Speakers Institute Member Website, including but not limited to ebooks, tables, educational materials, apps, video webinars, and audio material.

Paid in Full Payment means payment of the entire cost of the Selected Speakers Institute Program at the time of signing the Application Form or signing up online.

Participant means any person enrolled in any Selected Speakers Institute Program.

Payment Plan means an installment arrangement for the payment of the full cost of the Selected Speakers Institute Program in equal installments, the first payment being due prior to the commencement of the Selected Speakers Institute Program.

Grace Period means the length of time following the documented expiration of your purchased program, in which Speakers Institute allows you to attend outstanding events that are included within your Program.

Selected Speakers Institute Program means the level of services that you have selected to receive at the time of signing the Application Form, as outlined in the Enrolment Package Outline.

Speakers Institute Client and/or You means the individual named in the Application Form.

Speakers Institute Website means the website www.speakersinstitute.com and all associated subdomains and mobile websites.

Speakers Institute Member Website means the parts of the Speakers Institute Website to which access is limited to clients of Speakers Institute currently enrolled in a Selected Speakers Institute Program.

Speakers Institute Member Facebook Group means the closed Facebook group for clients of Speakers Institute.

Speakers Institute, We, Us, and Our refer to Speaker Business LLC, doing business as Speakers Institute, and includes the principals, directors, employees, representatives, and assigns.

Speakers Institute Coaching Packages means all products and services provided by Speakers Institute including but not limited to mentoring programs, products, seminars, Online Content, coaching, consulting, marketing services, and media containing recorded materials, photography, and videography.

Enrolment and Payment

1.       Enrolment in the Selected Speakers Institute Program is subject to approval by Speakers Institute. The application process consists of:

1.1     Completion of the details in the Enrolment Package Outline including the Application Form and Application Questionnaire; and

1.2     Payment of the Minimum Deposit, or if applicable, a Paid in Full Payment.

2.       Completion of the Application Questionnaire provides information about you which enables Speakers Institute to:

2.1     Ensure your suitability for enrolment in the Selected Speakers Institute Program;

2.2     Confirm your intention to commit to this Agreement for the full term; and

2.3     If applicable, tailor the Selected Speakers Institute Program to your specific business and personal needs.

3.        Payment for the Selected Speakers Institute Program may be made either by a Paid in Full Payment at the time of enrolment, or by way of a Payment Plan.

4.        The pricing for all Speakers Institute Coaching Packages is outlined in the Enrolment Package Outline and may be updated by Speakers Institute at any time.

5.       The price does not include travel or accommodation costs associated with any Event included in the Selected Speakers Institute Program.

6.       The Paid in Full price for any Selected Speakers Institute Program is lower than the corresponding price for the same Selected Speakers Institute Program. This difference in pricing acknowledges the lower administration required from a Paid in Full payment.

7.       If you do not make a Paid in Full Payment prior to the date for final payment outlined in the Enrolment Package Outline, then you will be charged the Payment Plan price for the Selected Speakers Institute Program.

8.       You acknowledge that if you are accepted into the Selected Speakers Institute Program, you are responsible for the payment of fees for the entire course of the Selected Speakers Institute Program, regardless of whether you actually attend or complete the work involved and regardless of whether you have selected a Paid In Full Payment or Payment Plan. No refunds will be issued and all payments must be made. If a payment remains outstanding for greater than 30 days, the balance for the remainder of payments becomes due immediately and an invoice will be issued for the full amount.

9.       Payment Plans will be approved subject to you providing us your credit card or debit card details for payments on the date of completing the Application Form.

10.       Where you have selected to pay by Payment Plan, the first installment will be payable at the time of completing the Application Form.

11.      Your enrolment in the Selected Speakers Institute Program may not be resold, transferred, or offered for resale at a premium (including via online auction sites) or used for advertising, promotion, or other commercial purposes (including competitions and trade promotions) or to enhance the demand for other goods and services, either by the original purchaser or any subsequent bearer without the prior written consent of Speakers Institute and other than in accordance with the conditions set out in this agreement. If an enrolment in a Selected Speakers Institute Program is sold, transferred, or used in breach of this clause, the enrolment may be cancelled without a refund and the bearer of the enrolment may be refused admission to the Selected Speakers Institute Program.

12.    Upon completion of your application, you will nominate the specific date for attending the Speakers Institute Program.

12.1     Upon registering and confirming the date of your Premiere Bootcamp (online or live), One Day Intensive (online or live), and/or Advanced Bootcamps, if no reasonable reason has been given to transfer dates or you do not show up, there will be a transfer/no-show fee. This fee is payable if changed within 7 days of the event date or if you do not attend your registered event. 

The fee is payable each time you change your date or do not attend a chosen date.

  • Premiere Bootcamp transfer fee: $200 USD
  • Online Premiere Bootcamp transfer fee: $200 USD
  • One Day Intensive transfer fee (online or live): $50 USD
  • Advanced Bootcamp transfer fee: $200 USD

Cooling off Period

13.      If you choose to cancel your enrollment for any reason within 7 days of signing the Application Form (the “cooling-off period”), then we will refund you the total amount paid to us minus your minimum deposit. The minimum deposit varies for Speakers Institute programs and is non-refundable. The minimum deposit covers all intellectual property bonuses taken on the day of registration, including books, training videos, 6-month Speakers Tribe Membership, Gallup Strengths Test, and access to our Learning Management System. If there is a change of mind within the 7 days cooling off period, the balance of the Program does not fall due. The deposit will remain as a credit that can be used towards future Speakers Institute paid events (Please refer to clause 35 for further information on your credits).

14.      The cooling off period commences on the date of signing the Application Form, regardless of when your enrolment is accepted by Speakers Institute or when the total Minimum Deposit is paid.

15.      Notice of cancellation within the cooling off period must be given by email to hello@speakersinstitute.com with “Cooling Off Cancellation” in the subject line of the email.

16.       Refunds claimed within the cooling off period will be approved within 7 days and processed within 10 days of being approved by Speakers Institute.

17.      After expiry of the cooling off period, cancellations will not be accepted for any reason.

Payment for Enrolments – Payment Plan OptionPayments are in equal installments as set out in the Enrolment Package Outline and must be paid each period when they become due.

 

18.     Changes to a Speakers Institute Payment Plan are at the absolute discretion of Speakers Institute. Any request for changes to a Speakers Institute Payment Plan must be sent in writing to accounts@speakersinstitute.com.

19.      If your credit card or debit card details change, you must notify Speakers Institute of your changed credit card or debit card details by sending an email to accounts@speakersinstitute.com not less than 10 days prior to the next scheduled payment date.

20.      If a payment under a Payment Plan is declined by your bank or credit card provider, Speakers Institute reserves the right to charge you for any merchant processing fees or penalties incurred by reason of the declined payment.

21.      If Speakers Institute is unable to recoup payments payable by you under a Payment Plan by reason of cancellation of your credit or debit card, Speakers Institute reserves the right to issue an invoice to you for the balance of all monies due for the Selected Speakers Institute Program.

Outstanding fees

22.      In the event that Speakers Institute must issue an invoice in accordance with clause 8 or 22 above, and monies remain outstanding for over 30 days, Speakers Institute reserves the right to:

22.1      Charge interest on all money outstanding in accordance with the General Interest Charge as published by the Internal Revenue Service (IRS) from time to time;

22.2      Report the fact of the non-payment of the invoice to a credit reporting agency; and

22.3     Assign the right to enforce any debts due to it to a third party, without further consultation to you.

23.      You agree to indemnify Speakers Institute from and against all costs and disbursements incurred by Speakers Institute in recovering the debt (including but not limited to internal administration fees, legal costs on a solicitor and client basis, Speakers Institute’s collection agency costs, and bank dishonor fees).

Refunds and termination

24.      Occasionally we may need to cancel a Program. We will make every effort to reschedule your Selected Speakers Institute Program. However, in the rare and unlikely event of a cancellation without reschedule, a full refund will be paid within 10 days of notice of cancellation. Speaker Business LLC doing business as Speakers Institute will have no further liability to participants in respect to cancellation without reschedule.

25.      After the cooling off period set out in clause 13 has expired, subject to clause 27 below, no refunds will be given, regardless of whether or not you have participated in the Selected Speakers Institute Program, attended any Event or completed any activities.

26.      If you are on a Payment Plan and request to terminate your participation in the Selected Speakers Institute Program due to unforeseeable personal circumstances (terminal illness, death of a family member, extreme financial hardship) that prevent you from completing your program, you must give 14 days’ notice in writing to accounts@speakersinstitute.com.

26.1      To qualify for terminal illness, a medical certificate will need to be provided.

26.2     To qualify for extreme financial hardship, a letter from your banking institution should be provided that you cannot meet the expenses for your family like rent/mortgage, utilities, food, transportation, and health-related expenses (doctor visits and medication).

27.      Acceptance or rejection of requests for termination is entirely within the Speakers Institute’s sole discretion. If we accept your request for termination, no further payments will be deducted and no refund will be issued in respect of payment for previous months or part thereof.

Access to the Speakers Institute Member Facebook Group

28.         If included in your Selected Speakers Institute Program, you will also receive details of the Speakers Institute Member Facebook Group, and your request to join will be accepted within two days of making it. Your access to the Speakers Institute Member Facebook Group will be subject to your compliance with the Facebook community guidelines and terms of use, as well as the group guidelines.

Your commitment

 

29.      By signing this Agreement, you agree that you will:

29.1    Participate in the activities and perform the tasks assigned to you by Speakers Institute as part of your coaching process;

29.2    Commit for the full duration of the Selected Speakers Institute Program; and

29.3    Complete all coaching sessions included in the Selected Speakers Institute Program.

30.      By signing the Application Form, you agree that we may, at our sole discretion, terminate this agreement and limit, suspend or terminate your participation in the Selected Speakers Institute Program without refund of payments made if you:

30.1     Breach these terms;

30.2     Become disruptive or difficult to work with;

30.3     Fail to follow the guidelines of the program; or

30.4     Impair or otherwise interfere with the participation of our instructors or any other Participant in the program.

31.      We respect your confidential and proprietary information, ideas, plans, and trade secrets (“Confidential Information”). Accordingly, you agree to:

31.1   Keep confidential and not disclose to any person any Confidential Information belonging to any other Participant in the program;

31.2   Not infringe the copyright, patent, trademark, trade secret, or other intellectual property rights of any other participant or Speakers Institute;

31.3   Only use the Confidential Information of any other participant for the purposes of discussion during the program.

32.      You acknowledge that by entering this agreement, you represent to Speakers Institute that payment of the fees for your Selected Speakers Institute Program will not place a significant financial burden on you or your family.

33.      As a valued Speakers Institute client, you can pause or halt your current Protege Program with Speakers Institute for a maximum period of 8 weeks (2 months) that can only be taken once and cannot be broken up over a period of time. Your access to all Protege Program elements will be paused during this period.

34.     Once the term of your program has come to an end (the advertised duration of the program that you purchased), Speakers Institute offers a Grace Period of 12 months in which you can complete any outstanding events which were included as part of your program. Once this Grace Period is over, your access to any unattended events will expire and these elements of your program will be forfeited

35.     If you hold credits with Speakers Institute, your credits will be held with Speakers Institute for a period of 24 months (2 years). During this time, you can transfer your credits to a non-Speakers Institute client or use your credits towards any Speakers Institute product, program, or services that are provided. After 24 months (2 years), your credits will no longer be available for you to use.

Disclaimer and disclosure

36.      We do not offer a guarantee that you will achieve the same or similar results. Your success depends on many factors, including your background, dedication, participation, desire, and motivation.

37.      The information provided during or in relation to any Event is for general purposes only and it does not purport to be comprehensive or to render specific financial or legal advice. The information provided during or in relation to the Event should not be regarded as financial or legal advice. You should always seek independent legal and/or financial advice specific to your needs from a qualified practitioner before making business decisions. This disclaimer does not purport to exclude any warranties implied by law which may not be lawfully excluded.

38.      You acknowledge that there is an inherent risk in any business enterprise or activity and agree there is no guarantee that you will earn any money as a result of your participation in the Selected Speakers Institute Program. You agree that Speakers Institute, its directors, principals, employees, and representatives, will not be liable for any Losses that may arise out of any business decision made by you at any time.

39.      You acknowledge that we may pay commissions or referral payments to third parties arising from this agreement.

40.      If the Selected Speakers Institute Program is prevented or canceled due to an unforeseeable act of God, an inevitable accident, fire, blackout, flood, or any other calamity, or if by reason of strikes, or lockouts, or any other events beyond the direct control of the organizer, then we may reschedule the Selected Speakers Institute Program.

Intellectual Property

41.       All material relating to Speakers Institute Coaching Packages and Selected Speakers Institute Programs are subject to copyright and other intellectual property rights. The copyright in all such materials remains the property of their respective owners and may not be recorded, used, or reproduced without the express written permission of the copyright owner. You agree not, at any time, to do anything that would infringe the intellectual property rights in such materials.

42.      You agree that damages may be an inadequate remedy for a breach of these Terms and acknowledge that Speakers Institute will be entitled to seek injunctive relief if such steps are necessary to prevent violations of its intellectual property rights.

Indemnity

43.      You agree to fully indemnify and keep indemnified Speakers Institute in respect of:

43.1    Any Losses suffered by any person; or

43.2    Any claim made against Speakers Institute, including but not limited to all costs on an indemnity basis; by reason of your negligence or breach of these terms, or arising out of any circumstance relating to your participation in the Selected Speakers Institute Program.

General

44.      The laws of the state of California govern this agreement.

45.      Should any part of this agreement be determined by a court to be invalid or unenforceable, the remainder of the agreement will be unaffected.

46.       The failure of Speakers Institute or any third-party supplier to enforce any provision of this Agreement shall not constitute or be construed as a waiver of such provision or of the right to enforce it at a later time.

47.      This agreement may not be varied except with the written approval of a director of Speakers Institute.

48.      All terms, conditions, and warranties implied by statute that are excludable are excluded from this agreement. Such terms, conditions, and warranties implied by statute that are not excludable are not excluded from this agreement but our liability for breach of such conditions and warranties implied by statute that are not excludable is limited to the total amount paid by you to Speakers Institute under this agreement.

Speaker Business

By enrolling in the Speaker Business Program, you acknowledge and agree to the following terms and conditions:

49. The Speaker Business Program is an intensive educational experience that requires a significant commitment from participants. As such, you agree to attend all scheduled 1:1 and group sessions, including the 3-Day Bootcamp.

50. Once you have attended your first 1:1 session and your first group session, you are not permitted to drop out of the intake and attend the next intake unless for significant personal reasons.

51. Refund of your deposit is not available for the Speaker Business Program.

51.1 Refunds are only available if paid in full during the initial 7-day cooling-off period after your initial purchase or as specified in 49.2.

51.2 To be eligible for a refund, you must complete the course in its entirety and attend every Group Coaching Call, attend the 3-Day Bootcamp, and execute on every week’s homework tasks in the timelines given during the session, share it, and implement all feedback, including but not limited to your landing page, campaign automations, email, SMS & video copy and execution, slide deck, and pitch scripts.

51.3 If, after executing 49.2 and implementing and executing everything that you have been taught in the Speaker Business Program for a further 12 months after completion, you fail to make at least $62,500 per month, we will refund 100% of the investment made in the course. In such a case, you will be allowed to keep all course materials.

51.4 Additionally, Sam Cawthorn will work personally with you until you have achieved the outcome.

52. These terms and conditions constitute a binding agreement between you and the Speaker Business Program. By enrolling in the program, you confirm that you have read and understand these terms and conditions and agree to be bound by them.

Speaker Business Services

By enrolling in the Speaker Business Services, you acknowledge and agree to the following terms and conditions:

53. Speaker Business Services is predominantly a ‘done-for-you’ service Package. This means the client is only paying for the assets and services as specified in the package and not the ad spend.

54. Subscriptions are required for other services and Payment Gateways not included in the Speaker Business Services Package. The client is required to purchase all suggested subscriptions. Additional expenses to take into account may include expenses related to Sales Software Programs, Event Hire, and various other costs linked to events. This incorporates Photoshoots, Photographers, Videographers, Studios, and the link. Only Video Editing and Image editing are covered by Speaker Business.

55. The Client agrees to provide accurate information, cooperate with the Vendor, and promptly supply necessary materials, such as high-quality images and videos, along with any supplementary footage if deemed necessary.

55.1 The client must submit materials as requested by the Vendor within a maximum of 96 hours following each request. Timely submission of marketing assets is crucial for adhering to agreed-upon launch timelines.

56. Any data collected during the Program’s execution remains the joint ownership of both the Client and Vendor until the Agreement concludes. Both parties agree to handle and protect any collected data in accordance with applicable privacy laws.

57. The Vendor aims to launch Campaign a minimum of 5 weeks after the initial Agreement is signed if Marketing Assets are sent on time.

58. The client agrees to reply to every asset and/or feedback request and/or for approval, within 48 hours of the request.

59. The client agrees to notify the Vendor of the Online meeting link and/or in-person location of the venue no later than 6 weeks out from each event.

60. The client must pay for all ad spend. The ad spend is estimated at approximately $25 per registration, although it can vary considerably.

61. There are no attendee limitations per event; however, any attendance exceeding 100 individuals needs additional lead time.

62. Upon the culmination of the Agreement period, the Vendor will transfer all Marketing Assets and Associated Data, while also deleting or removing all passwords and login credentials. Additionally, a training allowance of up to 40 hours will be extended to the Client.

62.1 Following the Agreement, if both parties express a desire to proceed, the Vendor will propose an ongoing Management Fee to sustain the management of all marketing and campaigns for the Client. This fee will be set at $1000 per event.

62.2 The LMS and CRM are Speakers Business property and cannot be white-labeled.

63. Both parties agree to maintain the confidentiality of any sensitive information shared during the Program, including but not limited to trade secrets, proprietary data, and business strategies.

64. The Vendor’s liability is limited to the fees paid by the Client for the Program. The Vendor shall not be responsible for any indirect, incidental, or consequential damages.

65. The Vendor reserves the right to modify these Terms and Conditions as necessary. Any changes will be communicated to the Client in writing.

Promotional Offers

66. In the event of a Program cost reduction due to a promotional event like Black Friday, clients are hereby informed that they are not eligible to request a refund for any deposits made for future use, nor can they apply their credits during promotional periods.

67. Clients who have made deposits in the past will receive credits for their deposits but are not eligible for a refund of the deposit or the option to deduct the deposit amount during promotions, such as Black Friday.

68. Clients holding credits are not permitted to use those credits during promotional periods, including Black Friday.

69. Our Affiliate Standard Commission scheme does not apply to any promotions and discounts.

70. Any special promotions such as vouchers, promo codes, and gift cards, once redeemed, cannot be deducted from any prior payments or deposits made. Instead, it will remain as an SI credit solely for future program use.

71. All promotional vouchers and gift cards are non-refundable and ineligible for reimbursement under any circumstances.

72. Credit amount from any vouchers or gift cards cannot be applied to any deposit amounts or used in conjunction with ongoing promotional offers.

73. The SI credits are exclusively reserved for future program participation and cannot be converted to cash or utilized for any purposes outside of the Speakers Institute program.

74. All credits are expressly excluded from use towards Speakers Tribe Memberships, Events, and Programs. It is reserved exclusively within SI Programs.
